Notice of the time, place and - purpose or purposes of annual and special meetings. shall be given by mail to each member of the Chapter, not less than five (5) nor more than thirty (30) days before the meeting. Such notice shall be direct- ed to the member at his address as it appears on the books of the Chapter unless he shall have filed with the Secretary of the Chapter a written request that notices intended for him be mailed to some other address, in which case it shall be mailed to the Te designated in such a request. _ Section 6. Quorum. At any meeting of oanaed. one-third of the members, or if one-third of the members be seven or more, then seven of the members, present in person or by Proxy shail be a quorum. In the absence of a quorum, or when a quorum is present, a meting may be adjourned from time to time by a vote of the majority of the members present in person or by proxy, without notice other than by announce- ment at the meeting, but the Secretary of the Chapter shall immediate- ly notify the absent members in writing of the time and place to which said meeting was adjourned. The vote for members of the Executive Committee, and upon the demand of any member, the vote upon any question before the meeting shall be by ballot. Any vacancy that cannot be filled by the vote of at least three remaining members of the Committee shall be filled by the members of the Chapter at an amnual or special,meeting. If the number of members of the Committee be increased by the members of the Chapter, such increased membership shall be deemed to create vacancies in the Committee to the extent of the number of the increase therein and if Said vacancies are not filled by the members of the Chapter at the meeting at which said increase was voted, they may be filled by the _xecutive Committee in the manner therein provided, the new member — or members to serve until the-next annual meeting of the members of. the Chapter and the election and qualification of their respective successors, oo : a _ Section 8. Powers. All the Chapter powers, except such as are otherwise provided for in these By-Laws, shall be and are hereby vested in and shall be exercised by the Executive Committee, subject to the Manual for Chapters and the rules, regulations and policies prescribed and to be prescribed by the National Foundation, The _ Executive Committee, may by general resolution, delegate to committees of its own number or to officers of ithe Chapter, such powers as it _ may see fit. ” Section 9. Annual Report. The ixecutive Committee shall present at the annual meeting of members of the Chapter an Annual Report as of the previous May 31st, including its branch chapters, if any, signed by the Treasurer, on a form to be supplied for that purpose by the National Foundation. The original of said Annual Report shall be filed with the records of the Chapter and a duplicate original there- of shall be mailed to the National Foundstion before July 15th of each vear. : FORM OF CHAPTER AND BRANCH CHAPTER BY-LAWS y / Page (5) Article VI _ ~ Officers Section 1. Number. The officers of the Chapter shall be a Chairman, a Vice Chairman, a Secretary, a Treasurer and such other officers with such powers and duties not inconsistent with these By-Laws as from time to time may be appointed by the Executive Comaittee, < section 2. hlection. The officers shall be elected annually by the Lxecutive Committee of the Chapter at its first meeting after the annual meeting of the members for the term of one (1) year and Shall serve for such term and until the election and qualification of their respective successors, iach year within ten (10) days after their election, the Secretary shall notify the National Foundat— lon of the names and addresses of the officers so elected, Section 3. Vacancies. If any office of the Chapter becomes vacant, the hxecutive Committee shall elect an officer to fill such vacancy, and the officer so elected shall serve until the next annual meeting of the Executive Committee and until the election and qualification of his successor. Within ten (10) days thereafter the Secretary shall notify the National Foundation of the name and address of the officer so elected. " Section 4, The Chairman. The Chairman shall preside at all meetings of members of the Chapter and of the Executive Committee. He may, with the Treasurer, sign and execute all authorized contracts, notes or other obligations in the name and on behalf of the Chapter. He shall have general charge and supervision of the affairs of the Chapter, and shall perform such other duties as may be assigned to him from time to time by the Executive Committee. Section 5. The Vice Chairman. At the request of the Chairman, or in the event of his absence or disability, the Vice Chairman at _ any time, and from time to time, may perform any and all of the | duties of the Chairman and shall have such other powers and perform such other duties as the Executive Committee may from time to time assign to him. Section 6. The Secretary. The Secretary shall attend and keep the minutes of all meetings of the Executive Committee ‘and members of _ the Chapter. He shall attend to the giving and serving of all notices of the Chapter. He shall have Charge of such books, documents and _ papers as the Executive Committee may determine, He shall in general perform all the duties incident to the office of Secretary, subject to the control of the Executive Committee, and such other duties as may be assigned to him from time to time by the Executive Committee, | Section 6. Article X Liability | The National Foundation shall not be liable for any act or any féilure to act of the members of the Chapter, its Executive Committee, officers, agents, servants or employees, nor for any obligation assumed or incurred by the Chapter. I suspect, however, that the powers that made this assignment did feel the necessity for making a new and untried member look good in his first official responstbility. It was my desire to meet the members of the committee Monday but Phog was deeply involved with his bread and milk, Rens was busy running the show, and Ernie was absent apparently recovering from the dinner for the physical education department staff a night or two previous. Maybe that had something to do with Phog's voracious appetite for bread and milk. At any rate, greetings to the Inter-Club Activities Committee. In view of the impending matrimonial difficulties into which I will soon become embroiled, I shall be away from Lawrence a good part of August. Just what condition I will be in after my return is something you experienced men can forecast more accurately than I.
