Notice of all meetings of the Executive Committee shall be given by mailing the same at least five (5) days or by telegraphing the same at least two (2) days before the meeting, but such notice may be waived in writing by any member of A the Committee. No notice of, or waiver of notice of: any meeting shall be necessary where every member of the Committee is present. Notice need not be given of the nature of the business to be transacted at any meeting of the Executive Committee, Section 6, Quorum, At all meetings of the Executive Committee € majority of its members shall be necessary and sufficient to consti- 3 tute a quorum for the’ transaction of business, and the act of a majority, ; but not less than three, of the members present at any meeting at which there is a quorum shall be the act of the Committee, If at any meeting there is less than.a quorum present, a majority of those present may adjourn the meeting from time to time, but the Secretary of the Chapter shall immediately notify the absent members. of the Committee in write ing of the time and place to which said meeting was adjourned. _ Section 7. Vacancies. Any vacancy in the Executive Committee may be filled for the unexpired portion of the term by the vote of a majority but not less than three of the remaining members of the Committee, although less than a quorum, and any member so appointed Shall hold office until the next Succeeding annual meeting of the members of the Chapter and the election and qualifications of his successor. Any vacancy that cannot be filled by the vote of at least three remaining members of the Committee shall be filled by the members of the Chapter at an amnual or special,meeting. If the number of members of the Committee be increased by the members of the Chapter, such increased membership shall be deemed to create vacancies in the Committee to the extent of the number of the increase therein and if Said vacancies are not filled by the members of the Chapter at the meeting at which said increase was voted, they may be filled by the _xecutive Committee in the manner therein provided, the new member — or members to serve until the-next annual meeting of the members of. the Chapter and the election and qualification of their respective successors, oo : a _ Section 8. Powers. All the Chapter powers, except such as are otherwise provided for in these By-Laws, shall be and are hereby vested in and shall be exercised by the Executive Committee, subject to the Manual for Chapters and the rules, regulations and policies prescribed and to be prescribed by the National Foundation, The _ Executive Committee, may by general resolution, delegate to committees of its own number or to officers of ithe Chapter, such powers as it _ may see fit. ” Section 9. Annual Report. The ixecutive Committee shall present at the annual meeting of members of the Chapter an Annual Report as of the previous May 31st, including its branch chapters, if any, signed by the Treasurer, on a form to be supplied for that purpose by the National Foundation. The original of said Annual Report shall be filed with the records of the Chapter and a duplicate original there- of shall be mailed to the National Foundstion before July 15th of each vear. :
