MEMORIAL CORPORATION = BY-LAWS

ARTICLE I

Secs le The officers of this corporation shall be a President, not less
than three vice-presidents, a Secretary, a Treasurer, and an Auditor.

The President and Vice-Presidents shall be chosen from the Mombers of tho
Board of Directors.

Sec. 2. The duties of tho President shall be to proside at all moctings
and to be the chicf executive head of the Board of Directors. Tho dutics
of the Vice-Presidents shall be the samo as the President in tho absense

of the lattor. The dutics of the Secretary shell bo to keoop accuratc an?
correct records of all business transacted by the Board of Directors, ard
also full and correct records of all businoss transacted by any committco
or comnittces appointed by the Board of Directors. He shall oxccute suck
bond as the Board of Directors shall prescribes Tho dutics of the Auditor
shall be to carcfully cxaminc all claims mado against tho Corporation and-
make such recommendations to the executive committce as ho deoms proper for
the action of such committceo.

Sete 5. <Any vacancios eccurring in the Board of Directors shall be filled
by such Boards

ARTICLE IT

Socs.1l. The annual mecting of the Board of Directors shall be held in

the Exccutive Committooe and shall be called at the request of five merbers

ARTICLE IIT

The Board of Dircctors shall appoint all such committocs as it may deon
necessary and wise in carrying out of the business for which this corporatic™
is ercated, and prescribe the duties of such somnittces.

ARTICLE IV
These By-Laws may be amended by the Board of Directors at any annual mooting
or at any special mooting called for that purpose.

In the summor of 1927 a comnaittec was appointed by Chancollor Lindloy,
President of the Mcmorial Union Corporation with the request to " plan for tic
organization of the Union jssociation in connection with the Momorial Union
Building". On Novombor 12,1927 this committoe rendered its report under
the chairmanship of Professor U.G.Mitchcoll,. The following is the report
